How to form an LLC in District of Columbia
1. Choose your business name
Select a unique name that meets District of Columbia requirements and includes an LLC designator such as “LLC” or “L.L.C.” Before settling on a name, use the DC LLC lookup through the D.C. Department of Licensing and Consumer Protection (DLCP) to confirm that your preferred name is available.
2. Designate an organizer
The Articles of Organization must be signed by an organizer. This may be you, another member, or a formation provider. The organizer simply authorizes the filing and is not required to participate in long-term management.
3. Appoint a registered agent
District of Columbia law requires every LLC to maintain a registered agent with a physical street address within DC. The agent must be available during normal business hours to receive legal and official documents on behalf of your LLC.
4. Choose your management structure
Decide whether your LLC will be member-managed or manager-managed. Outline decision-making processes and responsibilities in your operating agreement.
5. Create an operating agreement (recommended)
DC does not require an operating agreement to be filed with the government, but having one is strongly recommended. It clarifies ownership, voting procedures, profit distribution, and how internal matters and disputes will be handled.
6. File the Articles of Organization (Form DLC-1)
After completing the earlier steps, you can officially form your LLC by filing Form DLC-1 with the District of Columbia Department of Licensing and Consumer Protection. Once approved, you can
obtain your EIN from the IRS so your business can open bank accounts, hire employees, and manage tax obligations.
