How to start an LLC in Kentucky
Forming an LLC in Kentucky involves six key steps. You can complete these on your own or work with a third-party provider. 1. Choose your business name
Select a unique name that meets Kentucky’s naming rules and includes an approved LLC designator (such as “LLC” or “L.L.C.”). Before committing to a name, you can verify availability by performing a Kentucky LLC search through the Kentucky Secretary of State’s Business Services search portal.
2. Designate an organizer
An organizer must sign your Articles of Organization. This can be you, a member, or a formation service. The organizer’s role is limited to authorizing the filing and does not determine long-term management.3. Appoint a registered agent
Kentucky requires all LLCs to maintain a registered agent with a physical address in the state (no P.O. Boxes). The registered agent you choose must be available during normal business hours to receive legal and official correspondence.
4. Choose your management and ownership structure
Decide whether your Kentucky LLC will be member-managed or manager-managed. Document internal decision-making, responsibilities, and rights within your operating agreement.
