How to start an LLC in Maine

1. Choose your business name
Select a distinct business name that includes an LLC designator (such as “LLC”). Before finalizing your choice, you can conduct a Maine LLC search through the Maine Secretary of State’s Corporate Name Search tool to confirm availability.
2. Designate an organizer
Your Certificate of Formation must be signed by an organizer. This can be you, another member, or a service provider. The organizer authorizes the filing but is not required to serve as a long-term owner or manager.3. Appoint a registered agent
Maine requires every LLC to maintain a registered agent with a physical street address in the state. P.O. Boxes are not permitted. The agent must be available during regular business hours to receive legal and official communications for your LLC.
4. Choose your management and ownership structure
Decide whether your Maine LLC will be member-managed or manager-managed. Clarify roles, responsibilities, and decision-making procedures in your operating agreement to ensure smooth internal operations.5. Create an operating agreement (recommended)
