How to start an LLC in New Jersey

There are six key steps to follow during your New Jersey LLC formation.

1. Choose your business name

Your business name must be distinguishable from all other entities registered with the New Jersey Division of Revenue and must include an LLC designator such as “Limited Liability Company,” “LLC,” or “L.L.C.”

You can do a New Jersey LLC search to make sure your desired name is available. New Jersey allows name reservations and alternate name (DBA) filings when needed. Corporate Creations can assist with availability checks and reservations.

2. Designate an LLC organizer

New Jersey requires identifying an organizer who signs and submits the Certificate of Formation. This person oversees the initial filing. Corporate Creations can act as your organizer and handle this administrative step for you.

3. Appoint a registered agent

Every New Jersey LLC must list a registered agent with a physical address in the state. This agent receives state notices, service of process, and official correspondence. Corporate Creations provides reliable registered agent services across all 50 U.S.states and can act as yours, ensuring nothing is missed.

4. Determine how your LLC will be managed

Before filing, you must decide whether your New Jersey LLC will be member‐managed or manager‐managed. This choice affects voting authority, operational duties, and how internal decisions are handled, so it’s important to think this through. There are pros and cons to both structure types, which we’ve outlined in our LLC member vs manager structure blog.

5. Draft an operating agreement

Although New Jersey does not require an operating agreement to be filed with the state, having one is strongly recommended, especially for new business owners. It outlines ownership, management responsibilities, and internal procedures to help prevent disputes.

6. File your Certificate of Formation

To officially establish your New Jersey LLC, your LLC organizer needs to file the Certificate of Formation through the New Jersey Division of Revenue’s online filing system. If your LLC will hire employees or have multiple members, you will also need to obtain an Employer Identification Number or EIN (also known as a FEIN). Corporate Creations can prepare and submit your formation documents and assist with the EIN process.
