How to start an LLC in New Mexico
There are several steps involved in New Mexico LLC registration. You can complete these steps independently or work with a third‐party provider. 1. Choose your business name
Select a unique business name that meets New Mexico’s naming standards and includes an LLC designator such as “LLC” or “L.L.C.” Before moving forward, you can run a New Mexico LLC search through the New Mexico Secretary of State’s online database to confirm your desired name is available.
2. Designate an organizer
Your Articles of Organization must be signed by an organizer. This individual can be you, a member of the LLC, or a third‐party provider. The organizer authorizes the filing but does not need to be an owner or long‐term manager.3. Appoint a registered agent
New Mexico requires every LLC to maintain a registered agent with a physical address in the state. A P.O. Box is not acceptable. The agent must be available during normal business hours to receive legal and state correspondence on behalf of your LLC.
4. Choose your management and ownership structure
Determine if your New Mexico LLC will be member‐managed or manager‐managed. Define roles, responsibilities, and decision‐making procedures in your operating agreement.5. Create an operating agreement (recommended)
Although New Mexico does not require LLCs to file an operating agreement, having one is strongly recommended. This internal document outlines ownership percentages, voting processes, dispute resolution, and how profits and losses will be allocated.
