How to start an LLC in Utah
There are several key steps involved in forming an LLC in Utah. You can handle the process on your own or work with a trusted formation provider. 1. Choose your business name
Pick a unique name that follows Utah’s naming requirements and includes an appropriate LLC designation such as “LLC” or “L.L.C.” Before locking in your business identity, you can complete a Utah LLC search using the State of Utah’s Business Name Search tool to confirm the name is available.
2. Designate an organizer
Your Certificate of Organization must include the signature of an organizer. This can be you, another member of your company, or a professional formation provider. The organizer’s role is simply to authorize the filing, it does not determine long‐term ownership or management.3. Appoint a registered agent
Utah requires every LLC to appoint a registered agent with a physical street address in the state. A P.O. Box does not qualify. Your agent must be available during normal business hours to receive legal notices and official communications on behalf of your Utah LLC.
4. Choose your management and ownership structure
Decide whether your Utah LLC will be member‐managed or manager‐managed. This determines who has daily decision‐making power. It’s best to document these details, along with responsibilities, voting procedures, and authority, in your internal operating agreement.5. Create an operating agreement (recommended)
While Utah does not require LLCs to file an operating agreement with the state, drafting one is strongly recommended.
